PROFESSIONAL SERVICES
The Teaneck Township Council awarded the following “Professional Services” contract:
Resolution No. 344-2026
AMENDING RESOLUTION 18-2026 TO IDENTIFY PKF O’CONNOR DAVIES, LLP AS SUCCESSOR TO BOWMAN & COMPANY LLP FOR MUNICIPAL AUDITING SERVICES AND RATIFYING THE 2026 AUDITING SERVICES AGREEMENT
WHEREAS, the Township Council is required by N.J.S.A. 40A:5-4 to cause an annual audit of the Township’s books, accounts, and financial transactions to be made by a registered municipal accountant, and intends to accept the audit for the year ending December 31, 2025 at its meeting of October 27, 2026; and
WHEREAS, in December 2025, the Township solicited proposals for municipal auditing services through a fair and open Request for Qualifications (“RFQ”) process pursuant to N.J.S.A. 19:44A-20.5 et seq.; and
WHEREAS, Bowman & Company LLP (“Bowman”) responded to the RFQ with a proposal received December 12, 2025 (the “Proposal”), identifying as engagement partner Daniel M. DiGangi, CPA, RMA, who has performed the Township’s audit for several years; and
WHEREAS, the Proposal disclosed that a business combination involving Bowman might be finalized before the engagement began, and committed that, if it were, the engagement team, audit approach, and fees would remain the same; and
WHEREAS, on January 6, 2026, the Township Council adopted Resolution 18-2026, awarding Bowman a fair and open professional services contract to conduct the audit for the year ending December 31, 2025 and to provide auditing services during 2026, for a term of January 1, 2026 through December 31, 2026, at a cost not to exceed $80,800.00; and
WHEREAS, the combination described in the Proposal took effect on January 1, 2026, when Bowman combined with PKF O’Connor Davies, LLP (“PKF”), and Mr. DiGangi and Bowman’s engagement team became part of PKF; and
WHEREAS, as a result, the agreement executed on behalf of the Township on February 24, 2026 (the “Agreement”) identifies the contracting party as “PKF O’Connor Davies, LLP (Previously Bowman & Company LLP),” and provides for the same services, term, engagement partner, fees, and hourly rates as the Proposal and Resolution 18-2026; and
WHEREAS, Resolution 18-2026 was not amended at that time to identify PKF as the contracting party; and
WHEREAS, PKF, through Mr. DiGangi and the same engagement team, has completed the audit for the year ending December 31, 2025, which is now before the Township Council for acceptance; and
WHEREAS, N.J.S.A. 40A:11-5(1)(a)(i) requires that professional services contracts be awarded by resolution of the governing body, and the Township Council wishes to amend Resolution 18-2026 and ratify the Agreement so that its resolution identifies the firm actually providing the Township’s auditing services before it accepts the audit; and
WHEREAS, the Township Council finds that confirming PKF as the Township’s auditor is in the best interest of the Township because the engagement partner and team selected through the RFQ remain the same, the scope of services, term, and fees are unchanged, and the change in the firm resulted from a combination that the Proposal disclosed in advance; and
WHEREAS, because PKF is a separate business entity from Bowman, PKF must submit in its own name the political contribution disclosure required by N.J.S.A. 19:44A-20.26 and the ownership disclosure statement required by N.J.S.A. 52:25-24.2, together with the other documents required of the Township’s professional services vendors; and
WHEREAS, the Chief Financial Officer has certified that funds are available for this contract in budget code 6-01-20-135-000-290;
NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of Teaneck, County of Bergen, State of New Jersey, as follows:
1. The foregoing recitals are incorporated as findings of the Township Council.
2. Resolution 18-2026 is hereby amended to award the contract for municipal auditing services to PKF O’Connor Davies, LLP, as successor to Bowman & Company LLP, effective as of January 1, 2026. 3. The execution of the Agreement on behalf of the Township is hereby ratified and confirmed. The Agreement is deemed to have been awarded pursuant to Resolution 18-2026, as amended by this Resolution, and this Resolution controls over any inconsistent provision of the Agreement.
4. No payment shall be made under the Agreement until PKF has submitted the disclosures and documents described in the twelfth recital of this Resolution.
5. The Township Clerk shall cause notice of this Resolution to be published in the official newspaper as required by N.J.S.A. 40A:11-5(1)(a)(i), and this Resolution and the Agreement shall be on file and available for public inspection in the Office of the Township Clerk.
